THIS TERMS OF SERVICE AGREEMENT (the "Agreement") is entered into effect upon payment processing through Stripe ("Effective Date") by and between:

Ember Technology Lab LLC, a Virginia limited liability company with its principal place of business at 8401 Mayland Dr, Ste V, Richmond, VA 23294 (hereinafter referred to as the "Provider")

AND

The subscriber to these services through Stripe payment processing (hereinafter referred to as the "Client")

WHEREAS, Provider offers specialized marketing services and acts as a marketplace facilitator for lead generation and marketing services; and

WHEREAS, Client desires to utilize Provider's services under the terms and conditions set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. SERVICES

1.1 Service Description. Provider shall provide newsletter growth services (the "Services") including:

(a) Consulting services for marketing and growth.

(b) Provisioning of software tools and services for marketing.

(c) Marketplace facilitation for third-party cold calling services as described in Section 14.

1.2 Service Level Terms. Provider shall:

(a) Deliver software tools and services for marketing.

(b) Respond to support inquiries as needed.

2. TERM AND TERMINATION

2.1 Term. This Agreement shall commence on the Effective Date and continue until terminated in accordance with the provisions herein.
